1. Acceptance of Terms

By accessing or using the website and services provided by KM LAMBS, LLC, a computer integrated systems design company registered in the United States with its principal place of business at 30545 Bayhead Rd, Dade City - 33523-1615, United States (KM Lambs, we, us, or our), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you must not access or use our website or services. These Terms of Service constitute a legally binding agreement between you and KM Lambs governing your use of our website and any services provided by us.

2. Eligibility and Access

By accessing our website and services, you represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into binding contracts. If you are accessing on behalf of a corporation, partnership, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms of Service. KM Lambs reserves the right to refuse service to any person or entity at our sole discretion.

3. Services Description

KM Lambs provides computer integrated systems design and related services within the Professional, Scientific, and Technical Services sector, including systems architecture planning, infrastructure assessment, cloud engineering, industrial integration, cybersecurity, and technology roadmapping. The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate service agreement or statement of work.

4. Intellectual Property

All content, materials, designs, code, documentation, methodologies, and deliverables created by KM Lambs in the course of providing services, including systems architectures, technical specifications, software configurations, network designs, and integration plans, are the intellectual property of KM Lambs unless otherwise specified in a separate service agreement. Upon full payment of all fees due under a service agreement, KM Lambs grants the client a non-exclusive, non-transferable, perpetual license to use the deliverables for their intended business purposes.

The KM Lambs name, logo, and all related trademarks are the exclusive property of KM LAMBS, LLC and may not be used without our prior written permission. All third-party trademarks referenced on our website or in our service materials remain the property of their respective owners. Any unauthorized use of intellectual property owned by KM Lambs or third parties may result in legal action and termination of access to our services and website.

5. License to Use Website

KM Lambs grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our website for your personal or internal business purposes. This license does not permit you to download, modify, reproduce, distribute, publicly display, or create derivative works based on our website content, except as necessary for normal browsing or as expressly authorized in writing. Any unauthorized use may violate copyright, trademark, and other applicable laws.

You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information of KM Lambs without our express written consent. All rights not expressly granted in these Terms of Service are reserved by KM Lambs.

7. Client Responsibilities

Clients engaging KM Lambs for systems design and integration services agree to provide accurate and complete information about their existing infrastructure and requirements; grant reasonable access to facilities, systems, and personnel necessary for service performance; obtain all necessary permissions; and cooperate in good faith throughout the engagement. Failure to meet these responsibilities may result in delays or additional fees.

8. Fees and Payment

Fees for services will be set forth in the applicable service agreement or statement of work. Unless otherwise specified, all fees are due within thirty days of invoice date. Late payments may incur interest at one and one-half percent per month or the maximum rate permitted by law. KM Lambs reserves the right to suspend services for accounts more than thirty days past due. All fees are in United States dollars and are exclusive of any applicable taxes, which shall be the responsibility of the client. KM Lambs may invoice for taxes where required by law, and clients shall provide any necessary tax exemption certificates in advance. Any dispute regarding an invoice must be submitted in writing within fifteen days of receipt, and undisputed amounts remain due according to the payment terms.

9. Confidentiality

Each party agrees to maintain in confidence all confidential information disclosed by the other party in connection with the services. Confidential information includes business plans, technical data, system architectures, client lists, financial information, trade secrets, and any information designated as confidential. Confidential information shall not be disclosed to third parties without the disclosing party's prior written consent, except as required by law. These obligations shall survive termination for five years.

10. Limitation of Liability

To the maximum extent permitted by applicable law, KM Lambs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or cost of substitute services, arising out of or in connection with these Terms of Service or the provision of services. KM Lambs total cumulative liability shall not exceed the total fees paid by the client in the twelve-month period immediately preceding the event giving rise to the claim. This limitation applies regardless of the legal theory under which a claim is brought, including contract, tort, negligence, strict liability, or otherwise. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you. In such jurisdictions, KM Lambs liability is limited to the greatest extent permitted by law.

11. Warranties and Disclaimer

KM Lambs warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. Any claim must be reported in writing within thirty days of delivery. KM Lambs will, at its option, re-perform the services or refund the fees paid. Except as expressly provided, all services are provided as is and KM Lambs disclaims all warranties, express or implied.

12. Insurance and Risk Management

KM Lambs maintains appropriate professional liability, general liability, and cybersecurity insurance coverage in amounts customary for computer integrated systems design firms operating within the Professional, Scientific, and Technical Services sector. Upon request, KM Lambs will provide certificates of insurance evidencing such coverage to prospective clients. The maintenance of insurance does not limit or expand KM Lambs liability under these Terms of Service. Clients are encouraged to maintain their own insurance coverage appropriate to their business operations and risk profile. KM Lambs will upon request provide evidence of its current insurance coverage, subject to any confidentiality restrictions contained in such policies.

13. Indemnification

You agree to indemnify, defend, and hold harmless KM Lambs, its officers, directors, employees, and affiliates from any claims, damages, and expenses arising out of or relating to your use of our website, your violation of these Terms of Service, or your infringement of any intellectual property or other right of any person or entity.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms of Service shall be determined by arbitration in Pasco County, Florida, before a single arbitrator administered by the American Arbitration Association. The arbitrator award shall be final and binding. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information without waiving the right to arbitrate. The prevailing party shall be entitled to recover its reasonable attorneys fees and costs.

15. Termination

Either party may terminate a service agreement with thirty days written notice in the absence of specific termination provisions. Upon termination, each party shall return or destroy all confidential information, and the client shall pay all fees due for services performed up to the date of termination. Sections that by their nature should survive termination shall survive, including intellectual property provisions, limitations of liability, and indemnification obligations.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, strikes, supplier failures, internet disruptions, power outages, or any other unforeseeable event outside the control of the affected party. The affected party shall provide prompt notice and use reasonable efforts to resume performance.

17. Data Protection and Privacy

KM Lambs processes personal information in accordance with our Privacy Policy, which is incorporated by reference into these Terms of Service. Each party agrees to comply with all applicable data protection laws in connection with the services. KM Lambs implements appropriate technical and organizational measures to protect client data against unauthorized access, loss, or destruction. Where KM Lambs processes personal data on behalf of a client, we will do so only in accordance with the client instructions and applicable privacy laws. In the event of any conflict between these Terms of Service and the Privacy Policy regarding data processing, the Privacy Policy shall prevail to the extent of such conflict. Each party shall notify the other promptly of any data breach affecting the services and cooperate in good faith to mitigate any harm to affected individuals.

22. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida and the United States of America, without regard to its conflict of law provisions.

22. Changes to Terms

KM Lambs reserves the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated Last Updated date. Your continued use of our website or services after any changes constitutes acceptance of the modified terms.

22. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

22. Entire Agreement

These Terms of Service, together with any applicable service agreement or statement of work, constitute the entire agreement between you and KM Lambs regarding your use of our website and services, and supersede all prior agreements, understandings, and discussions, whether oral or written. No modification shall be effective unless in writing and signed by an authorized representative of KM Lambs.
